If your customer is the U.S. Federal Government, the new Subpart 3.10 and other related changes to the Federal Acquisition Regulation (FAR) may soon require you to take a new look at the compliance and ethics programs you’ve integrated into your business operations.  And now that the Department of Justice has commented on the proposal, adding significantly more detail, the government’s expectation of “compliance” warrants further attention.

The proposed rule could affect companies of all sizes -- public or private, small or large, foreign or domestic – which have a noncommercial-item contract and/or subcontract with the Federal government exceeding $5 million for work performed in the U.S.  One key part of the proposed changes is the requirement to have a Code of Ethics and Business Conduct, an employee ethics and compliance training program and other internal compliance controls in place.
